2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use of this website and do not engage our services.
You must be at least 18 years of age and legally capable of entering into a binding agreement to use our services. By proceeding, you represent that you meet these requirements.
3. Nature of Services
Dharma Path provides civil and commercial legal advisory services in three practice areas: business formation and structuring, contract review and drafting, and intellectual property registration and advisory.
Content on this website is provided for general informational purposes only and does not constitute legal advice for any specific situation. A formal attorney-client relationship is established only upon execution of an engagement letter or service agreement with Dharma Path.
Our services are available to clients based in Thailand and internationally. Certain services may be subject to geographic restrictions where applicable Thai law imposes limitations.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate, complete, and timely information required for the engagement.
- Notifying us promptly of any changes to relevant circumstances during the engagement.
- Reviewing and responding to documents and correspondence within agreed timeframes.
- Using our services only for lawful purposes consistent with Thai law and applicable regulations.
- Not providing false or misleading information for the purpose of obtaining our services.
5. Prohibited Activities
When accessing this website or engaging our services, you agree not to:
- Attempt to obtain services for purposes that violate Thai law or any applicable law.
- Transmit harmful, fraudulent, or misleading content through any form or communication channel.
- Attempt to circumvent or interfere with the security or operation of our website.
- Reproduce, distribute, or commercially exploit any content from this website without written consent.
- Misrepresent your identity or authority to engage our services on behalf of another party.
6. Intellectual Property
All content on this website — including text, design, structure, and visual elements — is the intellectual property of Dharma Path and is protected under Thai copyright law.
You are granted a limited, non-exclusive, non-transferable licence to access and view this website for personal, non-commercial use. No content may be reproduced, distributed, modified, or used for commercial purposes without our prior written consent. Documents prepared by Dharma Path as part of a client engagement are provided under the terms of the applicable engagement agreement.
7. Fees and Payment
Service fees are specified in the engagement letter issued prior to commencement of work. All fees are quoted in Thai Baht (฿) unless otherwise agreed in writing.
Government registration fees, official filing costs, and other third-party disbursements are charged at actual cost and itemised separately. These are not included in our professional fee unless expressly stated.
Payment terms are set out in the engagement letter. We reserve the right to suspend work on an engagement where payment obligations are not met in accordance with agreed terms.
8. Service-Specific Terms
Business Formation: Timelines are estimates based on standard regulatory processing times. We are not responsible for delays caused by government agencies, incomplete documentation provided by the client, or changes in regulatory requirements during the engagement.
Contract Work: Our review and drafting services apply to documents under Thai commercial law. We do not provide advice on the law of other jurisdictions unless agreed separately. Clients are responsible for obtaining independent advice on cross-border contractual implications.
Intellectual Property: We do not warrant the outcome of any IP application. Registration decisions are made by the relevant government registry. Our service covers preparation, filing, and prosecution support — not the grant of registration itself.
9. Disclaimers
This website and its content are provided on an "as is" basis without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted or error-free.
Nothing on this website constitutes legal advice for your specific circumstances. Outcomes of legal matters are subject to many variables and cannot be predicted. Dharma Path does not make representations about the likely outcome of any engagement.
10. Limitation of Liability
To the maximum extent permitted by Thai law, Dharma Path's liability for any claim arising from the use of this website or our services is limited to the fees paid for the specific matter giving rise to the claim.
We are not liable for indirect, consequential, or incidental damages, lost profits, or loss of data arising from the use of this website or our services.
11. Termination
Either party may terminate a service engagement by written notice. Upon termination, fees for work completed up to the termination date become immediately payable. Dharma Path will return or securely destroy client documents as instructed, subject to applicable record retention requirements.
12. Governing Law and Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Thailand. Any dispute arising in connection with these terms or the services provided by Dharma Path shall be subject to the exclusive jurisdiction of the Thai courts.
We encourage parties to seek informal resolution of any dispute before initiating formal proceedings. Requests for informal resolution should be directed to [email protected].
13. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be indicated by an updated "Last Updated" date. Continued use of our website or services following any changes constitutes acceptance. We recommend reviewing this page periodically.
